ABN Amro Holding NV's efforts to join with Barclays PLC were dealt a blow Thursday after an Amsterdam court froze the sale of ABN's U.S. unit LaSalle. The decision boosts the chances of a rival bid for all of ABN Amro, but will likely spark a legal war between factions seeking to clinch the Amsterdam-based bank.
The freezing of the LaSalle deal could force Barclays to either revise or drop its offer for Europe's ninth-largest bank by market value. The proceeds of a sale of LaSalle to Bank of America Corp. were set to be used to help finance a deal between ABN Amro and Barclays. The freezing of the sale also opens up the possibility of Bank of America seeking damages from ABN Amro in U.S. courts.
The verdict also provides a boost to a rival European banking consortium headed by Royal Bank of Scotland Group PLC, which had sought to prevent a hasty sale of LaSalle, giving it more time to woo ABN Amro's shareholders.
After the court case, Barclays issued a statement saying it will continue to pursue the merger with ABN Amro, which it believes still 'offers significant value to shareholders.'
A spokesman for ABN declined to comment. In a statement, ABN said it will examine the ruling's implications. Lawyers for Bank of America at the Amsterdam court also declined to comment, saying they needed time to study the verdict. In a statement, Bank of America said, 'We have a binding contract and intend to take all necessary steps to protect our legal rights.'
A request to freeze the sale of LaSalle was brought by the Dutch shareholders association, known as VEB, which demanded that the transaction be put to a shareholder vote, a move the VEB believes will help facilitate an open auction for Amsterdam-based ABN Amro.
